Welcome to Frame Sauce! These Terms of Service ("Terms") constitute a legally binding agreement between you and Frame Sauce Inc. ("Frame Sauce," "we," "us," or "our") governing your access to and use of the Frame Sauce website at www.framesauce.com and our AI-powered product image generation services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. Service Description

Frame Sauce provides an AI-powered image generation service that allows users to create professional product images for e-commerce platforms. Our Service includes:

• AI-generated product images based on user prompts and reference images
• Multiple generation presets optimized for different marketplaces (Amazon, Etsy, eBay, Shopify)
• Custom preset creation and management
• Image editing and refinement tools
• Image pack generation with multiple variations
• Credit-based usage system
• Subscription-based access tiers
• Image gallery and history tracking

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, and without liability to you.

3. Account Registration and Security

Account Creation

To use our Service, you must:

• Be at least 18 years of age
• Provide accurate and complete registration information
• Maintain and update your account information
• Have the legal capacity to enter into binding contracts

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account is not shared with others

We are not liable for any loss or damage arising from your failure to maintain account security.

4. Subscriptions and Billing

Subscription Plans

We offer the following subscription tiers:

• Starter Plan: $12.99/month - 40 credits per month
• Pro Plan: $49.99/month - 200 credits per month
• Studio Plan: $199/month - 1000 credits per month

Billing Terms

• Subscriptions are billed on a recurring monthly basis
• Payment is processed through Stripe, our third-party payment processor
• You authorize us to charge your payment method for all fees incurred
• All fees are non-refundable except as required by law or explicitly stated
• Prices are subject to change with 30 days' notice
• Failed payments may result in service suspension or termination

Upgrades and Downgrades

You may upgrade or downgrade your subscription at any time:

• Upgrades take effect immediately, and you receive the new credit allocation
• Downgrades take effect at the end of your current billing period
• Unused credits from downgrades are forfeited

Cancellation

You may cancel your subscription at any time:

• Cancellations can be made through your account settings or Stripe Customer Portal
• Your access continues until the end of your current billing period
• No refunds are provided for partial months
• Unused credits are forfeited upon cancellation

Refund Policy

All subscription fees are non-refundable. We do not provide refunds or credits for partial months of service, unused credits, or content you have purchased. However, we may provide refunds at our sole discretion on a case-by-case basis.

5. Credits System

Credit Allocation

• Credits are allocated based on your subscription tier
• Credits are refreshed at the beginning of each billing cycle
• Different generation types consume different amounts of credits
• Credit costs are displayed before each generation

Credit Usage

• Credits are deducted when image generation is initiated
• Failed generations may be refunded at our discretion
• Credits cannot be transferred between accounts
• Credits cannot be exchanged for cash or other forms of currency

Credit Expiration

• Unused credits expire at the end of each billing cycle
• Credits do not roll over to the next billing period
• Upon subscription cancellation, all remaining credits are forfeited

6. Content Ownership and Usage Rights

Your Content

You retain all ownership rights to:

• Reference images you upload
• Product descriptions and titles you provide
• Images generated using our Service

By using our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, and display your content solely for the purpose of providing and improving the Service.

Generated Images

Subject to your payment of all applicable fees and compliance with these Terms:

• You own all rights to the images you generate
• You may use generated images for any commercial or personal purpose
• You may modify, edit, and create derivative works
• You are responsible for ensuring your use of generated images complies with applicable laws

Service Data

We may use aggregated, anonymized data derived from your use of the Service for:

• Improving our AI models and algorithms
• Developing new features and services
• Analytics and research purposes

7. Acceptable Use Policy

You agree not to use the Service to:

• Generate illegal, harmful, or offensive content
• Create images that infringe on intellectual property rights of others
• Generate content depicting minors in inappropriate contexts
• Create deepfakes or misleading content intended to deceive
• Generate spam, malware, or malicious content
• Violate any applicable laws or regulations
• Harass, abuse, or harm others
• Attempt to reverse engineer, decompile, or hack the Service
• Circumvent usage limits or access restrictions
• Use the Service for any automated or bulk processing without prior written consent
• Resell or redistribute the Service without authorization
• Share account credentials with others

We reserve the right to refuse service, terminate accounts, or remove content that violates this policy or is otherwise objectionable, without notice and at our sole discretion.

8. Intellectual Property

Frame Sauce Property

The Service, including its software, design, text, graphics, logos, and trademarks, is owned by Frame Sauce and protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or branding without permission
• Remove or alter any copyright notices or proprietary marks

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, worldwide, royalty-free license to use, implement, and commercialize such feedback without any obligation to you.

9. Service Availability and Modifications

We strive to provide reliable service but cannot guarantee:

• Uninterrupted or error-free operation
• Specific uptime percentages
• Compatibility with all devices or browsers
• Specific generation results or quality

We may perform maintenance, updates, or modifications at any time. We will attempt to notify users of scheduled downtime but are not obligated to do so.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FRAME SAUCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or unavailability
• Errors, inaccuracies, or defects in generated content
• Unauthorized access to your account or content
• Third-party conduct or content

OUR TOTAL LIABILITY FOR ANY CLAIMS UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or quality of generated content
• Warranties that the Service will meet your requirements

You use the Service at your own risk. We do not warrant that generated images will be suitable for your intended use or comply with specific platform requirements.

12. Indemnification

You agree to indemnify, defend, and hold harmless Frame Sauce and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content or generated images
• Your violation of applicable laws

13. Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at support@framesauce.com and attempt to resolve the dispute informally for at least 30 days.

Arbitration

Any dispute arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except:

• You may assert claims in small claims court if they qualify
• Either party may seek injunctive relief in court for intellectual property infringement

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions, class arbitrations, or representative actions.

14. Termination

Termination by You

You may terminate your account at any time through your account settings. Termination does not relieve you of any payment obligations for services already rendered.

Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your payment method fails
• We are required to do so by law
• We discontinue the Service

Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your account and content after termination. Sections of these Terms that by their nature should survive termination shall remain in effect.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of courts located in Delaware for any disputes not subject to arbitration.

16. Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Frame Sauce regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms at any time without notice.

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, natural disasters, or failures of third-party services.
